1. About these terms
Only Invoicing (the “Service”) is provided by [Only Invoicing Ltd], a company registered in England and Wales under number [company number], registered office [registered address] (“we”, “us”). “You” means the person or business using the Service.
The Service is designed for businesses, sole traders and freelancers acting in the course of business. If you use it on behalf of an organisation, you confirm you have authority to bind that organisation. Our Privacy Policy and Cookie Policy also apply.
2. Your account
- You must be 18 or over and give accurate information when signing up.
- Keep your login details and two-factor codes secure. You are responsible for activity under your account and for the people you invite to your workspace.
- Workspace owners control membership and roles, billing, and the workspace's data. Tell us promptly at [support@onlyinvoicing.com] if you suspect unauthorised access.
3. The service
The Service lets you create and send invoices and quotes, take card payments through your own Stripe account, record expenses, automate reminders and recurring invoices, and use an AI assistant. It is a tool to help you run your business — it is not accounting, tax or legal advice, and you remain responsible for the accuracy of your documents, for charging and accounting for VAT correctly, and for keeping records required by law (generally 6 years for HMRC).
4. Plans, payment and cancellation
Free and Pro
The Free plan is provided at no charge. The Pro plan costs £8.99/month, billed monthly in advance by card through our payment provider Stripe. [Only Invoicing Ltd] is not currently VAT-registered, so no VAT is added; if that changes we will tell you in advance.
Renewal and price changes
Pro renews automatically each month until cancelled. We may change the price with at least 30 days' notice by email; the new price applies from your next billing date after the notice period, and you can cancel before it takes effect.
Cancellation
You can cancel at any time in Settings → Billing. Cancellation takes effect at the end of the current billing period: you keep Pro features until then, and the workspace then returns to the Free plan with your data intact.
Refunds
Payments are non-refundable and we do not provide refunds or credits for partial months, except where required by law or where we materially fail to provide the Service. Deleting your account cancels any subscription immediately without a refund for the remainder of the period.
Failed payments
If a payment fails we will retry and let you know. If it remains unpaid we may downgrade the workspace to Free.
Payments from your clients
Card payments from your clients are processed by Stripe directly into your own connected Stripe account under Stripe's terms. We do not hold your funds, are not a party to the transaction between you and your client, and are not responsible for Stripe's fees, disputes, chargebacks or payouts.
5. Acceptable use
You must not use the Service to:
- break any law, or send fraudulent, misleading or fake invoices or quotes;
- send spam or unsolicited bulk email, or email people you have no business relationship with;
- upload malware, or content that is unlawful, infringing, defamatory or abusive;
- impersonate another person or business, or misrepresent your affiliation;
- probe, scan or test the vulnerability of the Service, bypass rate limits or access controls, or access another workspace's data;
- scrape, resell, sublicense or reverse engineer the Service, or use it to build a competing product;
- process special category data (e.g. health data) unless strictly necessary for an invoice;
- use the AI assistant to generate unlawful or harmful content.
We may remove content or suspend access that breaches this section (see section 12).
6. Your content
You own the content you put into the Service (clients, invoices, logos, notes and so on). You give us a limited licence to host, copy, process and display it only as needed to provide and secure the Service. You confirm you have the right to upload it. You can export your data at any time from Settings → Account.
We own the Service itself, including its software, design and branding. Any feedback you give us may be used without obligation to you.
7. Data processing
For personal data you put into your workspace about your clients and other third parties, you are the controller and we are your processor. In accordance with Article 28 UK GDPR we will:
- process that data only on your documented instructions (these terms and your use of the Service);
- ensure our staff and contractors are bound by confidentiality;
- implement appropriate technical and organisational security measures;
- only engage the subprocessors listed in our Privacy Policy, under written terms at least as protective, and give notice of changes;
- assist you, taking into account the nature of processing, with data-subject requests, security, breach notification and impact assessments;
- notify you without undue delay after becoming aware of a personal data breach;
- delete your data when you delete your workspace or account (subject to backup cycles and legal retention);
- make available information reasonably necessary to demonstrate compliance.
You are responsible for having a lawful basis for the data you upload and for giving your clients any required privacy information.
8. Third-party services
The Service integrates with third parties such as Stripe, Google and GitHub sign-in, and email delivery providers. Your use of those services is subject to their own terms, and we are not responsible for them.
9. AI assistant
AI-generated output can be wrong or incomplete. Review drafts, figures and summaries before relying on them or sending them to clients. The assistant asks before it makes changes, and you are responsible for changes you confirm.
10. Availability and changes
We aim to keep the Service available and reliable but do not guarantee uninterrupted or error-free operation. We may change, add or remove features; if we remove a material paid feature we will give reasonable notice. Planned maintenance will be kept to a minimum.
11. Liability
Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be limited or excluded by law.
Subject to that:
- the Service is provided “as is” and we exclude all implied terms, warranties and conditions to the fullest extent permitted by law;
- we are not liable for loss of profits, revenue, business, goodwill or anticipated savings, loss or corruption of data (beyond restoring from our backups where possible), or any indirect or consequential loss;
- we are not liable for unpaid invoices, late payments by your clients, or the tax treatment of your documents;
- our total liability arising out of or in connection with these terms in any 12-month period is limited to the greater of (a) the fees you paid us in that period and (b) £100.
You will indemnify us against claims by third parties arising from your content or your breach of section 5 (Acceptable use).
12. Suspension and termination
You can stop using the Service and delete your account at any time in Settings → Account. We may suspend or terminate your access immediately if you materially breach these terms, if required by law, or to protect the Service or other users; otherwise we will give at least 30 days' notice. On termination your right to use the Service ends and we will delete your data as described in the Privacy Policy. Export anything you need first.
Sections that by their nature should survive termination (including 6, 11, 13 and 14) will survive.
13. General
- We may update these terms. For material changes we will give at least 30 days' notice by email or in the app; continuing to use the Service after that means you accept them.
- You may not transfer your rights under these terms without our consent. We may transfer ours to a successor business.
- If any part of these terms is unenforceable, the rest remains in effect.
- No delay in enforcing a right is a waiver of it.
- These terms are the entire agreement between us about the Service.
- No third party has rights under the Contracts (Rights of Third Parties) Act 1999.
- We are not liable for delays or failures caused by events beyond our reasonable control.
14. Governing law and jurisdiction
These terms and any dispute arising from them (including non-contractual disputes) are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
